Macquarie Bank Group (Macquarie) today advised that its new broad-based co-investment fund, Macquarie Capital Alliance Group (MCAG) has finalised the membership of its Boards of Directors, with the appointment of Dr Kenneth J Moss as an Independent Director.
Dr Moss has been appointed to the Boards of Macquarie Capital Alliance Limited (MCAL) and Macquarie Capital Alliance Management Limited (MCAML). MCAL is the stapled company in MCAG’s dual stapled structure and MCAML is the manager of MCAL and responsible entity of the stapled trust, Macquarie Capital Alliance Trust.
Dr Moss has extensive experience as an executive and company director. Dr Moss is the chairman of Boral Limited and Centennial Coal Company Limited. He is also a director of Adsteam Marine Limited and GPT Management Limited.
Dr Moss has an engineering degree (Honours) and a doctorate of philosophy in mechanical engineering from Newcastle University. Dr Moss commenced his career with Howard Smith in 1974 and has held senior positions both in Australia and overseas with Howard Smith before becoming managing director in 1993 until August 2000.
Dr Moss is welcomed by his fellow directors on the Boards of MCAL and MCAML, which consist of four and five directors respectively and a majority of independent directors. Mr Rowan Ross is the Chairman and a Macquarie representative on both Boards. In addition to Dr Moss, the Independent Directors on both Boards include Mr Peter Warne and Mr Robin Crawford. Mr Nicholas Moore is the other Macquarie representative on the MCAML Board.
The appointment of Dr Moss is in line with an undertaking in the MCAG Prospectus and Product Disclosure Statement whereby a final independent director was to be appointed to the Boards of MCAL and MCAML prior to the Allotment Date, Monday 4 April 2005.
Listing of MCAG on the Australian Stock Exchange is scheduled to occur on Friday 8 April 2005.
